Sean Badgley

Sean Badgley is a distinguished attorney with more than ten years of experience in advising businesses within intricate regulatory and economic settings. His practice focuses on business transactions, corporate governance, mergers and acquisitions, and administrative regulatory matters. Sean has a proven track record of assisting both startups and established companies in navigating legal frameworks to achieve their strategic objectives.

Sean's legal journey began in 2013 in Washington State's cannabis industry, where he played a pivotal role in interpreting new cannabis laws and advocating for regulatory advancements through administrative channels. His expertise extends beyond cannabis, offering guidance on compliance, governance, and business operations across various regulated industries.

Before joining the Structure Law Group, Sean founded and led a boutique business law firm in downtown Seattle. There, he managed a team of attorneys handling a wide array of corporate and regulatory issues. Sean earned his J.D. from Seattle University School of Law in 2014, where he was an active member of the Cannabis Law Society. He has represented some of Washington's top cannabis retailers, advising on general counsel matters, employment issues, and mergers and acquisitions. His pro bono efforts include advocacy litigation against city governments and the State of Washington.

Originally from Colorado, Sean completed his B.A. in Business Economics from the University of Colorado in 2007, with a focus on interdisciplinary business studies. Outside the legal arena, Sean enjoys playing video games and TTRPGs, cooking, and reading historical non-fiction. He resides in the Pacific Northwest with his wife, daughter, and two dachshund-mix dogs, who often accompany him on hikes through the region's scenic trails.
