Cheryl Allaire brings more than two decades of legal experience, offering courtroom and strategic counsel to businesses from small start-ups to established public corporations. Her practice encompasses a broad spectrum of corporate and business matters, such as entity selection and formation, corporate governance, equity and debt financings, and SEC securities compliance. She is adept in handling public company reporting requirements, venture capital and private equity, mergers and acquisitions, as well as partnerships and joint ventures. Cheryl also manages commercial transactions, contract negotiations, employment and consulting agreements, and equity compensation plans. Prior to joining Mathieu, Ranum & Allaire, Cheryl served as Counsel in the Emerging Companies & Venture Capital group at Perkins Coie LLP in Boise, where she also chaired the firm's Diversity and Paralegal Committees. Her previous roles include Associate in the Corporate group at K&L Gates, LLP in San Diego, and in-house Corporate Counsel for seven years at Franklin Templeton Investments.
Before entering the legal field, Cheryl was an auditor in the specialized finance division of a major financial institution. She earned a Bachelor’s in Business Administration, magna cum laude, and an MBA from the University of San Diego, along with a law degree from Georgetown University. She is licensed to practice law in California and Idaho.
